When it comes to perpetual licenses versus subscription licenses – or even perpetual licenses versus SaaS in general – subscription licenses have many advantages. Payments are evenly distributed between your use of the service and since the upfront fees are usually relatively low, almost any business can benefit from them. In addition, the vendor is responsible for all software updates and maintenance so that you can continue to run your business. This is a difficult decision, we know, especially since there are a few important points to consider before making a decision between subscription and perpetual license. Given this prediction, it is very likely that the perpetual licensing model could become obsolete within a few years. Licensee hereby grants Licensor a license to use Licensee`s name and Licensee`s trade names and trademarks solely in accordance with this Marketing Section. Use of the Software is limited to a licensed legal entity or individual user who is not authorized to transfer the Software to a third party. (i) modify the Software so that it does not become intrusive; (ii) obtain a license for Licensee to continue to use the Software; (iii) replace the Software with other software reasonably suitable for Licensee, or (iv) if none of the above remedies is commercially feasible, terminate the license of the incoming Software and refund all license fees paid for the Software, prorated for an interval of three years from the effective date of the Agreement.
